Terms and Conditions of the Use of Service Policy

The Clients which access, avail or use Tumodo Services is subjects to the followings terms and conditions, as applicable laws in the respected clients Jurisdiction. Your access, avail or use of Tumodo's Services through any platform is in consideration for your agreement to these Terms and Conditions of Use of Service Policy.

1. Terms and certain definitions

  1. 1.1. Authentication: is the verification of the identity of the person by Login and Password presented by him.
  2. 1.2. Authorized person of the Client: a User authorized to give instructions to Tumodo on behalf of the Client, purchase Services using the System and exercise other powers. The Client shall inform Tumodo about the fact of authorization of the Client's Authorized Person in a written request for access to the System.
  3. 1.3. Compromise: is loss of confidence that the Password used by the User is unknown to unauthorized persons.
  4. 1.4. Employee: an employee of the Client, the Client's client or another person for whom the Client purchases the Services (the end user of the Services) and whose personal data the Client has provided to Tumodo for the purpose of subsequent booking, Ordering and/or purchasing Services for him.
  5. 1.5. Login (User Name(s)): the name of the User's account that allows identification of him.
  6. 1.6. Order (Request) means: the order to execute the Services referred to herein, given by the Client to Tumodo in the manner agreed between the Parties.
  7. 1.7. Password means: a secret set of characters designed to authenticate the User in the System and confirm his authority.
  8. 1.8. Real Time (Online) Mode: a state of direct, uninterrupted, round-the-clock connection to the System via the Internet.
  9. 1.9. Service Provider: a carrier, a hotel, a catering company, a travel agency, a tour operator, an automated booking system, a person directly providing the Services or obligated to ensure its provision by another person or persons.
  10. 1.10. Services: services, including, without limitation, of hotels, airline and railway carriers, including issuing travel documents, other travel-related services for business trips and travel, services of travel agencies, tour operators, automated reservation systems.
  11. 1.11. The online order management system "Tumodo" ("System"): (a) is a proprietary software-as-a-service platform that (b) provides access to information about the Services, and the Terms of Cancellation contained in various online booking systems; (c) enable the Client to independently select the required Services, calculate their cost, book and / or purchase the required Services (and/or message the Service Provider of the Order to make the relevant transactions) in real time on the website www.tumodo.io; (d) as well as providing the possibility of exchanging messages and documents between the Parties to the Main agreement, sending Requests to Tumodo, receiving additional information from Tumodo, analytical reports, and having other functions and capabilities.
  12. 1.12. Terms of Cancellation: the terms and conditions and rules for booking, purchasing, modifying, canceling, terminating and/or refusing any Services and the reservation thereto from time to time.
  13. 1.13. Transaction: an Order (Request) for a single Service accepted by Tumodo.
  14. 1.14. The term "the Client" includes: individuals authorized by the Client who perform actions on behalf of the Client using the System.
  15. 1.15. User: an individual who has an account in the System.

2. Subject of the Agreement

2.1. This Agreement regulates the rights and obligations of the Parties in the use of the System.

2.2. The Parties shall exchange documents and messages electronically using the System. Tumodo shall provide the Client with online access to the System in order to use its features independently for the purposes of the performance of the Main Agreement by the Parties and in accordance with the terms and conditions stipulated in the Main Agreement.

3. Terms of use of the System

3.1. The Client independently and at his own expense prepares software and hardware for working with the System according to the following mandatory minimum requirements:

  • Any of the last two releases of one of the following Internet browsers: Google Chrome, Firefox, Yandex Browser, Microsoft Edge Safari and Opera.
  • Internet connection speed - from 128 KB/s or faster.
  • The browser used to access the System must have Java Script and cookies enabled.
  • The computer from which the System is accessed must be able to run a browser using a secure protocol.

3.2. Under this Agreement, Tumodo shall not provide the Client with any hardware, software or communication services necessary to access the System, nor shall it provide installation, repair, configuration, diagnostics of software, hardware and other technical devices belonging to the Client, as well as for connecting to the Internet to access the System.

3.3. Within one working day after Tumodo receives the Client's request for access to the System, Tumodo creates (generates) unique personal User Names (Logins) and corresponding temporary Passwords for the persons specified by the Client in the request. The Client undertakes to change the temporary Password received from Tumodo to the Client's own confidential Password upon the first login to the System. The password shall consist of digits and letters of the Latin alphabet and be at least 8 characters long. The password can use special characters available for keyboard input. The User, which entered a correct Login/Password pair, shall be recognized by the System as having successfully passed Authentication.

3.4. The Client undertakes that the System will be used properly and only by Authorized Persons of the Client who are competent in the use of the System.

3.5. Tumodo shall provide information support and assistance on using the System, which includes posting information and necessary instructions on Tumodo website, training and coaching on using the System for persons authorized by the Client to receive Services using the System.

3.6. Tumodo has the right to change the interface and functionality of the System. In cases where such changes may affect the form of providing information about the Services or any Terms of Cancellation, Tumodo shall be obliged to notify the Client of such changes.

3.7. Tumodo shall be entitled to carry out scheduled maintenance work on the System by notifying the Client in advance. If possible, such work shall be scheduled for evening or night hours or weekends and public holidays. Tumodo shall use reasonable endeavor to ensure that the duration of scheduled maintenance does not exceed eight (8) hours per month. Tumodo shall not be liable for any interruptions in the operation of the Service Providers' information systems or communication services.

4. Booking Online

4.1. Tumodo provides round-the-clock operation of the System on Real Time (Online) Mode.

4.2. When using the System, the Client shall independently create a database of Employees. At the same time, the Client is obliged to verify the accuracy and correctness of such data by checking them with the documents of Employees; when registering Services in the System, the Client assumes responsibility for their completeness, reliability and correctness.

4.3. When ordering Services, the Client or Authorized persons of the Client shall get acquainted with additional information on each Service to be booked, including the terms and conditions of the Service, and the Terms of Cancellation. Information on the Service may be provided in the language of the Service Provider. By booking, purchasing, modifying, canceling, terminating or refusing a Service or the reservation thereof in the System, the Client confirms that he/she has read and agreed to such terms and conditions. By expressing such consent, the Client accepts the said terms and conditions fully and unconditionally.

4.4. If the Client does not agree with the terms and conditions of the Service and/or the Terms of Cancellation, the Client shall be obliged to refuse to purchase such Service and Tumodo shall have no obligation to provide or to procure the provision of any Service.

4.5. Upon confirmation of the Client's consent, Tumodo shall make the reservation and procure the selected Service for the Client on the terms and conditions agreed with the Client.

4.6. Any modification, cancellation, refusal or termination of the Services or any reservation thereto shall be subject to the Terms of Cancellation and any request thereof shall be made by the Client using the System.

The Terms of Cancellation shall be notified to the Client in the System in accordance with Section 4.3. of this Agreement and may be amended by the relevant Service Providers from time to time. The Client understands and acknowledges that by agreeing to the Terms of Cancellation as provided in Section 4.3. of this Agreement, he/she has accepted such conditions and undertakes to pay all penalties, fees and withholdings related to the modification, cancellation, termination and/or refusal of the purchased Services and/or untimely performance of such actions by the Client, including but not limited to those payable to the relevant Service Provider and Tumodo as prescribed in the System.

If the modification, cancellation, termination or refusal of the relevant Services requires the submission of the prescribed forms of the related Service Provider(s), the Service is recognized as canceled properly only if the Client returns the originals of such forms to Tumodo, and upon the acceptance of such forms by the related Service Provider(s), as and if applicable.

4.7. The Client is obliged to advise the Employee of and provide the Employee with all necessary information about the terms and conditions of the ordered Services and the Terms of Cancellation and all rules and procedures related thereto, and the consequences of not using any ordered Services, and all other information necessary for the provision of the ordered Services and the use of the System from time to time.

4.8. The Client acknowledges that the proposed destination(s) under an ordered Service may require entry visas. No order of Services will be canceled, and no refund will be made due to the inability to obtain the required entry visa.

4.9. The Client shall ensure that any Employee for whom a Service involving the booking of any flight ticket is purchased shall show up for the flight with a passport the validity period of which covers a minimum of six months following the date of the flight, and all visas required for exiting the country of departure and entering the country of destination, or vice versa.

5. Data protection requirements

5.1. All and any activities carried out in the System by persons authenticated using Logins corresponding to the Client's Authorized Persons and/or belonging to the Client shall be deemed to have been carried out by the Client.

5.2. The Client acknowledges that disclosure of information relating to access to the System may cause material damage to it and shall independently take all reasonable measures to safeguard the confidentiality of any Logins and Passwords and to prevent unauthorized access to the System by unauthorized persons, including but not limited to any dismissed Employees who hold any Login or Password. Without limiting the generality of the above, the Client shall take protection measures against loss or disclosure of data, computer viruses, cyberattacks, and failures in the Client's security system.

5.3. All risks associated with any unauthorized use of the System are the sole responsibility of the Client. Tumodo reserves the right to suspend or terminate the provision of services immediately, without prior notice, if it has reasonable grounds to believe that unauthorized use or access to the System has occurred or is occurring. Tumodo and the Client will cooperate in a good faith to investigate and resolve the matter.

5.4. The Client shall independently ensure that its own Passwords or the Passwords of any Authorized person of the Client are not disclosed and, upon reasonable suspicion of any cases of Compromise, ensure that the relevant Passwords are replaced as soon as practicable.

5.5. The Client undertakes to immediately notify Tumodo in writing of the need to cancel the previously provided Login (User Name(s)) in all cases of Compromise, dismissal, replacement or replacement of the person for whom access to the System has been granted, or suspicion of any Compromise.

5.6. Tumodo shall, within one working day of receipt of a notice provided in paragraph 5.5 above, cancel access to the System on behalf of the Client for the person named in the notice.

5.7. The Client acknowledges and accepts that full revocation of access to the System for any particular Login (User Name(s)) means that the Client will not be able to gain Authentication into the System using such Login (User Name(s)) and therefore cannot perform any Transactions in the System under the affected Login (User Name(s)). In this case, all actions performed in the System using such Login (User Name(s)) prior to the revocation of access to the System, including but not limited to searching, booking and purchasing the Services, shall be deemed by the Parties to have been performed by the User to whom such Login (User Name(s)) corresponds. All financial responsibility for such actions taken in the System using the Login (User Name(s)) belonging to the Client or any Authorized Person(s) of the Client prior to their cancellation lies entirely with the Client.

6. Responsibility

6.1. The Client shall bear the risk and responsibility for the completeness and accuracy of all information entered into the System by any Authorized person of the Client.

6.2. The Client shall be liable for any unauthorized use of the System, incorrect or incomplete data entered by any person using the System on behalf of the Client, as well as any erroneous booking, purchasing, modification, termination, refusal and/or cancellation of any Services or reservation thereof and hereby undertakes to compensate Tumodo for all costs incurred or to be incurred by Tumodo in the said cases.

6.3. The Client undertakes not to modify the electronic documents received from the System as confirmation of the Services ordered, including but not limited to electronic tickets, vouchers, and itinerary receipts. The Client is liable for non-compliance with this provision. The Client shall immediately notify Tumodo of any deficiencies in these documents, and Tumodo shall identify the causes of such deficiencies and take reasonable measures to rectify the same.

6.4. To the extent permitted by applicable law, Tumodo is responsible solely for culpable non-performance/improper performance of obligations under the Main agreement and this Agreement. At the same time, the Client acknowledges that Tumodo's liability under this Agreement cannot exceed the Service Fee of the relevant Service ordered by the Client from Tumodo.
